Mauritius Funds & Variable Capital Companies: A Flexible Platform for Fund Structuring

Understanding Mauritius fund structures including VCC umbrellas, CIS/CEF options, and how to establish a regulated investment fund through Mauritius.

AcuFin Research|12 August 2026|10 min read

Mauritius has developed a comprehensive investment-fund ecosystem and is frequently considered by fund managers, private investors, family offices and institutional sponsors looking for an internationally recognised platform with particular relevance to investment into Africa and other emerging markets.

One of the most significant developments in the Mauritius fund landscape has been the introduction of the Variable Capital Company (VCC).

Mauritius Fund Structures

Mauritius accommodates different types of collective investment and closed-end structures, depending on the investor base, investment strategy and regulatory characteristics.

Structures may be designed for strategies including private equity, venture capital, public securities, ETFs and index-related investments, real estate, private credit, fintech, infrastructure, renewable energy and multi-asset investment strategies.

The appropriate regulatory category depends on the proposed offering, investor profile and investment strategy.

What is a Mauritius VCC?

A Variable Capital Company is a Mauritius company authorised by the Financial Services Commission (FSC) to operate through sub-funds and Special Purpose Vehicles (SPVs).

The structure enables multiple investment strategies to sit within an overarching VCC platform.

Subject to FSC approval, a VCC sub-fund may operate as a Collective Investment Scheme (CIS) or Closed-End Fund (CEF) of an appropriate category. Sub-funds may also function as feeder or master funds.

Why is the VCC Structure Attractive?

A major benefit is structural flexibility.

Instead of establishing a completely separate fund company for every new strategy, a sponsor can potentially establish additional sub-funds under the same VCC umbrella, subject to the applicable approvals.

This can facilitate:

  1. 01

    Multiple investment strategies

  2. 02

    Different investor groups

  3. 03

    Separate portfolios

  4. 04

    Segregation between sub-funds

  5. 05

    Addition of future investment strategies

  6. 06

    Master-feeder arrangements

  7. 07

Use of SPVs ancillary to the VCC or its sub-funds

The VCC legislation also provides a framework for segregating the assets and liabilities attributable to the relevant sub-funds and SPVs.

Fund Ecosystem

Depending on the structure and regulatory classification, a Mauritius fund may require or engage service providers including a fund manager, fund administrator, custodian, auditor, legal adviser, bank, directors, MLRO and compliance professionals, and Management Company.

These relationships should be considered at the structuring stage rather than after submission of the licence application.

Tax Considerations

The Mauritius tax regime provides partial exemptions for certain qualifying fund-related income, subject to applicable requirements.

Fund taxation, investor taxation, withholding taxes in investment jurisdictions and access to treaty benefits should nevertheless be analysed according to the specific structure and investment strategy.
