Terms of Engagement
The terms below govern the professional relationship between AcuFin Global and its clients. They sit alongside, and are subordinate to, the specific engagement letter signed for each instruction.
Scope
These terms set out the basis on which AcuFin Corporate Limited ('AcuFin', 'we', 'us') provides professional services to clients. They are read together with the engagement letter signed for each specific instruction. In case of conflict, the engagement letter prevails.
Onboarding and KYC
We are required by law to perform customer due diligence on every client and on every beneficial owner of a structure we administer. We will request identification documents, source-of-wealth and source-of-funds evidence, and ongoing updates. We may decline or terminate an engagement where due diligence is incomplete or where we are not satisfied as to the legitimate purpose of the structure.
Fees
Fees are set out in each engagement letter, generally on a fixed-fee or time basis with disbursements at cost. Invoices are payable within 30 days unless agreed otherwise. We may suspend services for unpaid invoices after written notice. FSC and other regulator fees are charged at cost.
Conflicts of interest
We maintain a conflicts register and decline engagements that would create a material conflict that cannot be appropriately managed. Where a manageable conflict exists, we will disclose it and proceed only with informed consent.
Confidentiality
We treat all client information as confidential and will not disclose it except as required by law or regulation, with your consent, or to professional advisors and counterparties strictly as needed to deliver the engagement.
Liability
Our liability is limited as set out in the engagement letter. We carry professional indemnity insurance appropriate to our regulated activities. Liability for fraud, wilful misconduct or matters that cannot be excluded by law is not limited.
Termination
Either party may terminate an engagement on reasonable written notice. Fees up to the date of termination are payable. We will hand over records and cooperate with any successor agent in line with our regulatory obligations. We may terminate immediately for non-payment, breach, or where continuing the engagement would breach our regulatory or AML obligations.
Governing law
These terms and any non-contractual obligations arising from them are governed by the laws of Mauritius. The courts of Mauritius have exclusive jurisdiction, save where the engagement letter provides otherwise.
Changes
We may update these terms. Material changes will be notified to active clients. The current version is always available at acufin.global/legal/terms-of-engagement.
