Mauritius Company Formation: A Strategic Gateway for International Business

A comprehensive guide to establishing a Global Business Corporation or Authorised Company in Mauritius, including structures, substance requirements and tax benefits.

Mauritius has developed into a well-regulated and internationally recognised financial centre connecting Africa, Asia, Europe and the Middle East. Its combination of political stability, a sophisticated legal and financial system, an extensive international business network and a competitive tax environment makes Mauritius an attractive jurisdiction for entrepreneurs, investors and multinational groups.

Choosing the Right Mauritius Company Structure

The appropriate structure depends largely on the proposed activities, location of management, target markets, banking requirements and tax objectives.

Global Business Corporation (GBL)

A Global Business Corporation is generally suitable for businesses wishing to establish substantive operations in Mauritius while conducting international activities.

A GBL is licensed by the Financial Services Commission (FSC) and is commonly used for international investment holding, investment funds and financial services, international trading, consultancy and professional services, regional headquarters, investment into Africa and other international markets, and holding international subsidiaries and investments.

A GBL must satisfy applicable Mauritius substance and governance requirements. These include having at least two directors resident in Mauritius, maintaining its principal bank account in Mauritius, keeping accounting records in Mauritius and preparing statutory financial statements which are audited in Mauritius.

Mauritius companies are generally subject to corporate income tax at the applicable statutory rate. However, an 80% partial exemption is available on certain categories of qualifying income, subject to prescribed conditions, which can result in a significantly reduced effective tax rate.

Authorised Company

An Authorised Company (AC) may be appropriate for international businesses whose central management and control is exercised outside Mauritius and which conduct business principally outside Mauritius.

It provides a comparatively streamlined corporate structure while still benefiting from Mauritius' established corporate and regulatory environment.

The appropriate choice between an AC and a GBL should always be assessed according to the client's business model, tax residence, substance requirements, banking arrangements and intended transactions.
